These terms and conditions outline the rules and regulations for the use of D MASCOT DM's Website, located at https://dmascotdm.in.
1. Scope of Work & Revisions
This prevents "scope creep" (where a client keeps asking for "just one more thing" without paying more).
The Agreement: State that the specific services provided are limited to what is listed in the signed Proposal or Statement of Work (SOW).
Revisions: Clearly define how many rounds of changes are included (e.g., "Two rounds of minor revisions are included; further changes will be billed at an hourly rate of $X").
2. Client Responsibilities
This is your "shield" against project delays caused by the client.
Content Provision: The client must provide all text, images, and logos.
Approval Deadlines: State that if a client doesn't respond to a milestone within X days (e.g., 7 days), the project is paused or considered approved.
3. Intellectual Property (IP) Ownership
This is the most important clause for web designers.
Transfer of Rights: Specify that ownership of the final design/code transfers to the client only after final payment is received in full.
Portfolio Rights: Include a clause allowing you to showcase the work in your portfolio or "Powered by [Your Name]" in the website footer, unless they pay a "white-label" fee.
4. Payment Terms
Milestones: Common structure is 50% upfront, 25% after design approval, and 25% before the site goes live.
Late Fees: Define a penalty for late payments (e.g., "5% monthly interest on balances unpaid after 14 days").
Suspension of Service: You reserve the right to take a website offline if a maintenance or hosting bill is overdue.
5. Liability & Warranties
Protect yourself from "worst-case scenarios."
"As-Is" Basis: You provide the service to the best of your ability, but you cannot guarantee 100% uptime or that the site will never be hacked.
Loss of Profit: State that you are not liable for any loss of business or profit caused by technical issues or delays.
Third-Party Tools: You aren't responsible if a third-party plugin (like a payment gateway or WordPress theme) breaks or changes its terms.
6. Termination Clause
How does the "breakup" happen?
Notice: Either party can terminate the contract with X days of written notice.
Payment on Termination: If the project is cancelled mid-way, the client must pay for all work completed up to that date.
7. Governing Law
Specify which court system handles any disputes. Given your focus on Assam, you might state:
"This agreement shall be governed by and construed in accordance with the laws of India, and any disputes shall be subject to the exclusive jurisdiction of the courts in [assam]."
